Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of the OBRI platform (www.obricrm.com). By creating an account or using the service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.

If you use the platform on behalf of an organization, you confirm that you have authority to accept these Terms on its behalf.

2. Service Description

OBRI is a cloud SaaS platform (CRM) for tutors and their students. The service may include, among other things:

• Lesson schedule management (create, edit, cancel)
• Student management, profiles, and student portal access
• Assignments, lesson materials, and file storage
• Financial tracking of lessons, invoices, and balances
• Chat between teacher and student
• Google Calendar integration (optional)
• Email notifications about lessons, assignments, and schedule changes
• Referral program

We may modify, expand, or limit individual features. For material changes that reduce paid capabilities, we aim to provide advance notice.

3. Eligibility and Accounts

To create a teacher account, you must be at least 18 years old. Students may access the platform via a teacher invitation; students under 16 require parental or guardian consent (see also the Privacy Policy).

You agree to:

• Provide accurate, current, and complete registration information
• Keep your profile information up to date
• Keep your password confidential and not share access with third parties
• Promptly notify us of any unauthorized account use
• Remain responsible for actions taken through your account

One account is intended for one natural person. Transferring an account to another person without our written consent is prohibited.

4. Student Data and Teacher Responsibility

If you are a teacher, you may enter student data (name, contacts, schedule, notes, payments, etc.). You represent that:

• You have a lawful basis to collect and process that data
• You have informed students / parents about use of the platform where required by law
• You do not upload unnecessary sensitive data (health, biometrics, etc.) without a separate lawful basis

For student data you enter as a platform customer, you act as the controller of that data, and OBRI acts as a processor that processes it only to provide the service. Details are in the Privacy Policy.

5. Acceptable Use

You may not use OBRI to:

• Any illegal activity or violation of third-party rights
• Distributing harmful, offensive, or unlawful content
• Spam, phishing, or fraud
• Attempting unauthorized access to systems or data
• Reverse engineering, copying, or modifying platform code
• Automated data collection (scraping) without permission
• Reselling or sublicensing access to the service
• Circumventing plan limits or security controls

6. Subscription and Payments

6.1. Pricing Plans

OBRI offers a free plan and paid plans with expanded features. Current prices and terms are available on the in-app subscription page. We may change prices with at least 30 days' prior notice.

6.2. Payment Providers

• Ukraine (UAH): payments via Mono / Plata by Mono
• Other countries (USD and international cards): payments via Paddle

Card payment data is processed by the relevant provider. OBRI does not store full card numbers. For Mono auto-renewal we may store a card token issued by Mono.

6.3. Billing

• Payment is charged in advance for the selected period (month or year, depending on the plan)
• Subscriptions may renew automatically unless you cancel
• You may cancel at any time in account settings
• After cancellation, paid features remain available until the end of the paid period

6.4. Refund Policy

• Within 14 days of the first payment, you may request a full refund
• Recurring payments (renewals) are generally non-refundable once processed
• Exception: technical failures on our side that make the service unavailable for more than 48 consecutive hours

• For Paddle payments, Paddle's Merchant of Record policies may also apply

6.5. Free Plan

The free plan is available with a limited number of students and features. We may change free-plan conditions with prior notice.

7. Content and Intellectual Property

7.1. Your Content

You retain rights to content you upload or create in OBRI (materials, assignments, messages, notes). By providing content, you grant us a limited, non-exclusive license to store, process, and display it solely to provide the service.

7.2. Our Intellectual Property

The OBRI platform, including its design, code, logos, trademarks, and content (excluding user content), is owned by OBRI and protected by intellectual property laws. Copying or using any part of the platform without written permission is prohibited.

8. Privacy and Communications

Processing of personal data is governed by our Privacy Policy, which forms an integral part of these Terms.

We may send service (transactional) emails: account confirmation, lesson reminders, subscription changes, security notices. Separate product / marketing emails are sent only where we have an appropriate basis; you can unsubscribe from marketing emails via the link in the email or by contacting support.

9. Disclaimer of Warranties

OBRI is provided "as is" and "as available" without express or implied warranties to the fullest extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or meet all your requirements. We use reasonable efforts to maintain the availability and security of the platform.

10. Limitation of Liability

To the maximum extent permitted by law, OBRI and related persons are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profit, data, or business opportunities
• Service interruptions or errors
• Actions of third parties or external services (Google, Supabase, Mono, Paddle, etc.)
• Content and data you or your students upload to the platform

Our aggregate liability to you for any claims shall not exceed the amount you paid for the service in the 3 months preceding the claim (or zero if you are on the free plan).

11. Termination

You may delete your account at any time via profile settings or by emailing support@obricrm.com.

We may suspend or delete an account without notice in case of: violation of these Terms, fraudulent or illegal activity, or prolonged inactivity (over 12 months on the free plan). After deletion, data is handled in accordance with the Privacy Policy.

12. Governing Law and Disputes

These Terms are governed by the laws of Ukraine. For EU users, applicable EU rules also apply (including consumer protection and GDPR). Disputes shall first be resolved through negotiation. If that fails — through the competent court at the respondent's location or as provided by EU consumer law.

13. Changes to Terms

We may amend these Terms. For material changes, we will notify you by email or in-app notice at least 14 days before they take effect. Minor (editorial) changes take effect upon publication. Continued use after the effective date constitutes acceptance of the updated Terms.

14. Referral Program

OBRI may offer a referral program. Terms (reward amount, validity, payout) are published separately on the referrals page and may change. We may suspend or modify the program at any time.

15. Miscellaneous

• If any provision is found invalid, the remaining Terms remain in effect
• Failure to enforce a right is not a waiver of that right
• These Terms are the entire agreement between you and OBRI regarding use of the service
